ONLINE STORE TERMS AND CONDITIONS

These regulations ("Terms and Conditions") set out the rules and conditions of sale of goods in the online store operating at: www.nudmuses.com ("Online Store").

I. PRELIMINARY PROVISIONS

  1. The owner of the Online Store is: Madapi Sp. z o.o. with its registered office at Aleja Wilanowska 7A/58, 02-765 Warsaw, NIP:9512517188, REGON: 388599973, registered in the Register of Entrepreneurs kept by the District Court for the capital city of Warsaw, XIV Economic Department of the National Court Register, under the KRS number: 0000892502, email: office@nudmuses.com ("Madapi"), tel: +48 786 959 476.

  2. To use the Online Store, including browsing the Goods available in the Online Store's assortment and placing orders, the following are necessary:
    1. a computer, phone, tablet or other device with Internet access;
    2. web browser: Safari, Chrome, Internet Explorer, Firefox, or Opera;
    3. an active email account.
  3. Customers of the Online Store can be adults who have at least limited legal capacity and legal persons or organizational units without legal personality, which have legal capacity and the capacity to perform legal actions.

II. DEFINITIONS

  1. Customer - any person who uses the Online Store in any way.

  2. Cart - a component of the Online Store where the Customer specifies the details of the order such as: customer data, quantity of Goods, delivery address, invoice data, method of delivery, payment method, and other data whose provision is necessary in connection with the execution of the order.

  3. Newsletter - commercial information regarding Madapi, including in particular regarding Goods, news, promotions, etc.

  4. Online Store - the IT platform managed by Madapi, operating at: www.nudmuses.com.

  5. Goods - products that can be ordered in the Online Store.

III. ORDERING RULES

  1. Before placing an order in the Online Store, the Customer should read these Terms and Conditions.

  2. Information about Goods available in the Online Store's assortment does not constitute an offer within the meaning of the Civil Code. Information about Goods provided on the Online Store's website constitutes an invitation to Customers to submit offers.

  3. By placing an order in the Online Store, the Customer makes Madapi an offer to conclude a sales agreement (purchase) of the selected Goods. The conclusion of the sales agreement requires the Customer to place an order and then confirm to the Customer the acceptance of the order for execution by Madapi, after Madapi verifies the availability of Goods in stock.

  4. Placing orders in the Online Store is possible 7 days a week, 24 hours a day.

  5. The Customer can place an order in the Online Store by selecting Goods presented on the Online Store's website and adding them to the Cart.

  6. After adding Goods to the Cart and providing the data necessary to execute the order, the Customer confirms the placement of the order by clicking the button: "ORDER AND PAY".

  7. The prices of Goods available in the Online Store at the time of placing the order by the Customer are binding for the Customer and Madapi. The prices of Goods available in the Online Store are given in Polish zlotys and include VAT tax (they are gross prices).

  8. The price of the Goods stated on the Online Store's website does not include the cost of delivery of the Goods to the Customer. The delivery cost is added to the price of the Goods, the amount of which is indicated in the Cart, before the Customer confirms the placement of the order. The delivery costs depend on the method of delivering the Goods to the Customer, the value, and the size of the order.

  9. The entity providing online payment service is Stripe.

  10. The Customer placing an order in the Online Store can use the following payment methods:
    1. payment on delivery - in cash upon receipt of the ordered Goods, in the case of choosing delivery via courier service, upon delivery of the Goods to the Customer;
    2. payment by transfer - before receiving the ordered Goods, to the Madapi bank account indicated on the Online Store's website: www.nudmuses.com;
    3. BLIK payment;
    4. online payment via fast transfers or debit/credit card, via the payment operator Stripe's website.

IV. ORDER EXECUTION

  1. Madapi confirms to the Customer the acceptance of the order for execution to the email address provided by the Customer during the order placement, within 5 business days or, in the case of promotional actions, within 10 business days from the date of placing the order.

  2. If the execution of the order placed by the Customer is not possible due to the unavailability of Goods in stock (e.g., due to simultaneous ordering of the same Goods by many customers), Madapi will inform the Customer of this fact within the period specified in paragraph 1 above, by sending a message to the email address provided by the Customer. In case of unavailability of part of the Goods covered by the order, the Customer decides whether the order is to be executed partially or entirely canceled.

  3. The Customer can change or cancel the order via email: office@nudmuses.com, until Madapi sends the ordered Goods.

  4. In case of cancellation of the order in the situation indicated in paragraphs 2 or 3 above, if payment was made in advance, Madapi will refund the Customer the paid amount (or its part in case of partial execution of the order) within five business days from the day of order cancellation.

  5. Goods ordered in the Online Store are delivered to the address specified by the Customer during the order placement within the territory of the Republic of Poland within five business days or, in the case of promotional actions, within ten business days from the day of sending the order acceptance confirmation to the Customer.

  6. In case the Customer chooses a form of payment other than payment on delivery, the condition for accepting the order for execution is the prior payment for the ordered Goods. In case the Customer chooses a bank transfer as the payment method, Madapi will accept the order for execution after the payment for the ordered Goods is credited to Madapi's bank account. In case the Customer chooses a bank transfer as the payment method, the Customer should make the payment within three days from the date of placing the order.

  7. The delivery of the package to the Customer is carried out via courier service (DHL or InPost) or via InPost parcel lockers, to the locker selected by the Customer. The delivery of the package to the Customer or to the selected parcel locker will be realized on a business day.

  8. An attempt to deliver the package to the Customer is made once. In case the Customer was not present at the specified address, he should contact the courier company and arrange a re-delivery. After the second unsuccessful attempt to deliver the package, the Goods will be returned to Madapi, about which the Customer will be notified via email to the address provided during the order placement. In case of Goods for which payment was to be made on delivery, after the second unsuccessful delivery attempt, the order will be entirely canceled, and in case of prepaid orders, Madapi will contact the Customer to decide whether the order will be canceled or another attempt to deliver the order will be made.

  9. Madapi delivers the Goods to the Customer along with the sales document in the form of a receipt or VAT invoice, if the Customer indicated that he requests its issuance during the order placement and provided the data. The invoice will be sent by email to the address specified in the order. In case the Customer chooses the "gift wrap" option and requests not to include the receipt in the package, Madapi will send the Customer the receipt electronically, to the email address specified in the order.

V. WITHDRAWAL FROM THE AGREEMENT

  1. The Customer being a consumer may withdraw from the contract without giving any reason within 14 days from taking possession of the item by the Customer or a third party other than the carrier and indicated by the Customer, by submitting to Madapi a statement of withdrawal from the contract in accordance with Article 27 of the Act of 30 May 2014 on consumer rights. To keep the deadline, it is enough to send the statement before its expiry. The Customer may submit the statement using the model withdrawal form, which is Appendix No. 1 to these Terms and Conditions.

  2. In case of withdrawal from the contract in the manner indicated in paragraph 1 above, the Customer should return the Goods to the Online Store at the following address: Madapi, Aleja Wilanowska 7A/58, 02-765 Warsaw, no later than 14 days from the day of withdrawal from the contract. To keep the deadline, it is enough to return the Goods before its expiry. The Customer bears the direct cost of returning the Goods to the Online Store.

  3. The right to withdraw from the contract is not available to the Customer in the cases specified in Article 38 of the Act mentioned in paragraph 1 above, including but not limited to contracts:
    1. where the object of the service is a non-prefabricated item, manufactured according to the consumer's specification or serving to meet his individualized needs;
    2. where the object of the service is an item subject to rapid deterioration or having a short shelf life;
    3. where the object of the service is an item delivered in a sealed package, which cannot be returned after opening the package for health protection or hygiene reasons, if the package was opened after delivery;
    4. where the object of the service are items which, due to their nature, are inseparably mixed with other items after delivery.
  4. The Customer is liable for any decrease in the value of the Goods resulting from using it in a way beyond necessary to establish the nature, characteristics, and functioning of the Goods.

  5. In case of withdrawal from the contract in the manner indicated in paragraph 1 above, Madapi is obliged to immediately, no later than within 14 days from the day of receiving the Customer's statement of withdrawal from the contract, return to the Customer all payments made by him, including the costs of delivering the item. If the Customer chose a method of delivering the Goods other than the cheapest standard delivery method offered by Madapi, Madapi is not obliged to refund the additional costs incurred by him (Madapi refunds the delivery costs in the equivalent of the cheapest delivery method among those offered by Madapi during the order placement).

  6. Madapi makes the refund using the same payment methods that were used by the Customer in the original transaction, unless the Customer has expressly agreed to a different refund method, which does not involve any costs for him.

  7. Madapi may withhold the refund of payments received from the Customer until the Goods are returned or until proof of their return is provided, depending on which event occurs first.

  8. The provisions regarding the consumer contained in this section V also apply to an individual running a sole proprietorship who concludes a contract with Madapi related to his business activity when the sales contract does not have a professional character for this person, resulting in particular from the subject of his business activity, made available based on the provisions on the Central Registration and Information on Business.

VI. COMPLAINTS

  1. Madapi undertakes to deliver Goods to the Customer without defects.

  2. Madapi is liable to the Customer if the sold item has a physical or legal defect, on the terms set out in the provisions of the Act of April 23, 1964, Civil Code.

  3. Complaints related to the non-conformity of Goods with the contract can be submitted e.g., in person, in writing to the address of Madapi: Aleja Wilanowska 7A/58, 02-765 Warsaw or to the email address: office@nudmuses.com.

  4. Madapi will consider and respond to the complaint submitted by the Customer immediately, no later than within 14 days from the day of filing the complaint.

  5. The Customer being a consumer has the opportunity to use out-of-court methods of handling complaints and pursuing claims. In particular, the Customer can submit a request to initiate mediation proceedings to the Provincial Inspector of the Trade Inspection or apply to the Permanent Consumer Arbitration Court operating at the Provincial Inspector of the Trade Inspection with a request to settle the dispute. To use out-of-court methods of handling complaints and pursuing claims, the consent of both parties is necessary.

  6. The Customer being a consumer has the possibility to seek assistance in resolving the dispute with the seller and obtain free legal advice or information from the district (city) consumer ombudsman or social organization, to whose statutory tasks belong consumer protection, including the Consumers' Association of Poland, Consumers' Federation.

  7. The Customer being a consumer, making a purchase of Goods, is also entitled to use out-of-court methods of handling disputes and pursuing claims in the form of the ODR (Online Dispute Resolution) interactive platform, in accordance with Regulation (EU) No 524/2013 of the European Parliament and of the Council of 21 May 2013 on online dispute resolution for consumer disputes and amending Regulation (EC) No 2006/2004 and Directive 2009/22/EC.

VIII. NEWSLETTER

  1. The Customer may consent to receiving commercial and marketing information electronically, in the form of a Newsletter, to the email address provided by the Customer.

  2. The Customer may unsubscribe from receiving the Newsletter at any time. Each marketing message sent by Madapi contains a special link to unsubscribe from the Newsletter. Unsubscribing from the Newsletter for registered Customers is also possible by changing the settings on the user account.

IX. FINAL PROVISIONS

  1. Madapi is entitled to copyright or an appropriate license for the photos and content on the Online Store's website. Copying and distributing them without Madapi's consent is prohibited.

  2. The names of Goods posted on the Online Store's website may be protected under the provisions of the Act of June 30, 2000, Industrial Property Law.

  3. For matters not regulated in the Terms and Conditions, generally applicable laws apply, including the Civil Code of April 23, 1964, the Act of May 30, 2014, on consumer rights and the General Data Protection Regulation of the European Union 2016/679 of April 27, 2016 (GDPR).

  4. Madapi does not adhere to the code of good practice as understood by the Act of August 23, 2007, on counteracting unfair market practices.

  5. These Terms and Conditions are effective as of January 1, 2022.

INSTRUCTIONS ON WITHDRAWAL FROM THE AGREEMENT

Right to withdraw from the agreement

You have the right to withdraw from this agreement within 14 days without giving any reason.

The deadline to withdraw from the agreement expires 14 days from the day on which you acquired the goods or on which a third party other than the carrier and indicated by you acquired the goods.

To exercise the right to withdraw from the agreement, you must inform Madapi, located in Warsaw (02-765) at Aleja Wilanowska 7A/58, email: office@nudmuses.com

You may use the model withdrawal form, but it is not obligatory.

To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right to withdraw before the withdrawal period has expired.

Effects of withdrawal from the agreement

In case of withdrawal from this agreement, we shall reimburse to you all payments received from you, including the costs of delivery (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this agreement. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.

We may withhold reimbursement until we have received the goods back or you have supplied evidence of having sent back the goods, whichever is the earliest.

Please send back or hand over the goods without undue delay and in any event not later than 14 days from the day on which you communicate your withdrawal from this agreement to us. The deadline is met if you send back the goods before the period of 14 days has expired. You will have to bear the direct cost of returning the goods.

You are only liable for any diminished value of the goods resulting from the handling other than what is necessary to establish the nature, characteristics, and functioning of the goods.
